(Senior) Legal Counsel M&A (f/m/d)

Advisory: Legal advisory on M&A and Venture transactions Capital as well as Equity Joint Ventures of the E.ON Group Execution: Management and support of projects across all transaction phases, from preparation (due diligence, development of transaction structures, drafting of regulatory documents) to close and execution Negotiation: Independent conduct of failure Restructuring: Design and transaction of implementation-related restructuring measures Governance: Preparation and coordination of required corporate governance approvals Coordination: Management of external legal advisors

Professional: qualifications Fully qualified lawyer with at least one “vollbefriedigend” state examination (with distinction preferred) Professional experience: Minimum of 3 years of professional experience focused on M&A, Venture Capital, and corporate law in a law firm or corporate environment Leadership experience: independent managing projects, leading contracts, and coordinating external legal advisors Specific expertise: Strong understanding of commercial contexts; ability to work cross-functionally; expertise in transaction structures, due diligence, contract drafting, and transaction-related restructuring What sets you apart: Team-oriented, flexible, excellent communication skills, responsible and proactive; confident handling of various stakeholders Working method: Independent and structured working style; read to manage multiple tasks and efficiently Language skills: Fluent in German and English, both written and spoken
