(Senior) Legal Counsel - Mergers & Acquisitions (m/f/d) - REF90472Q

We are seeking a highly skilled and experienced Senior Legal Counsel (m/f/diverse) with expertise in Mergers & Acquisitions to our dynamic legal team in Hannover, Germany. As a key member of our Central Law Department, you will provide legal advice in strategic projects and of the Tire Sector involving the acquisition and divestiture of companies and/or business, the establishment and separation of joint ventures in particular: Advising in the evaluation phase search as preliminary feasible study of the transaction, carve out concept, transaction structure, and on documentation, like NDAs, release letters, engagement agreements, process permits, prevention agreements, market studies for merger control purposes, etc. Advising in organization phase, including establishing insider lists, drafting insider information sheets, drafting individual approximation/insider trading. Manage legal due diligence Preparation of transaction agreement(s), ensuring internal alignment on the content of the agreement and arbitration Advising on regulatory approvalsAssisting (a) in the signing and closing process of a transaction, including obtaining merger control clearance(s) and foreign investment approvals, (b) in obtaining internal approvals, (c) satisfying or review satisfaction of other conditions for closing, (d) in following up and ensuring the fulfillment of obligations out of the main transaction documents, including covenants

Develop rules for transition period between signing and closing, assist in their implementation Advising activities in post-merger, Selection, retention and management of external counsel and of external legal budget

Fully qualified lawyer (m/f/diverse) with cash admission several years of professional experience as a fully qualified lawyer in a law firm, corporation, ideally including experience with Corporate / M&A Good communication skills with the ability to write clearly, prepare professional communications and to receive complex matters clearly and professionally Strong negotiation skills and business understanding Strong intercultural competence Project management skills High ownership, motivation and commitment Proficiency in German is required. Excellent command of English is essential, additional language skills are an advantage.
